TOMPLAN Sp. z o.o. and TOMPLAN Group Sp. z o.o. sp.k., acting under Article 500 § 2 (1) of the Commercial Companies Code, hereby announce the Merger Plan (link below). The merger will be effected through the acquisition by the Acquiring Company – TOMPLAN Sp. z o.o. with its registered office in Lubochnia of the Acquired Company – TOMPLAN Group Sp. z o.o. sp.k. with its registered office in Lubochnia, in accordance with the procedure specified in Article 492 § 1 item 1 of the Commercial Companies Code, i.e., by acquisition, through the transfer of all TOMPLAN GROUP assets to TOMPLAN in exchange for shares that the Acquiring Company will issue to the shareholders of the Acquired Company.
The published Merger Plan was agreed upon and signed in Lubochnia on August 17, 2023.
